GENERAL TERMS AND CONDITIONS OF SALE
These general terms and conditions of service and sale apply to all sales of products by Scan&Go S.r.l. within Italian territory, concluded by a professional through the platform at www.scan-go.eu owned by Scan&Go S.r.l., headquartered at Via della Tecnica 34 A/B, 41051 Castelnuovo Rangone (Modena), REA Registration No. 389908, VAT No. 03463820369, with contact email address info@scan-go.eu (hereinafter, “Company” or “Scan&Go”). These general terms and conditions of sale must be carefully reviewed by the user before completing the purchase procedure for the products. It is understood that placing an order through the website www.scan-go.eu implies complete and absolute knowledge of these general terms and conditions of sale and their full acceptance.
DEFINITIONS
For the purposes of these general terms and conditions, the terms listed below will have the meaning attributed to them here, with the clarification that terms and expressions defined in the plural form are also understood to be defined in the singular form and vice versa:
“Buyer”: refers to the Registered User, who may also be a Customer, that must have the status of a professional, thus a natural or legal person possessing a VAT number acting in the exercise of their business, commercial, artisanal, or professional activity, or an intermediary purchasing one or more Products with the Contract through the Platform.
“Payment Systems”: refers to the systems allowed for Pre-authorization and viewable on the Platform, subject to the economic and regulatory conditions of their respective providers/managers.
“Customer”: refers to the Registered User who has previously purchased from Scan&Go, including through traditional distribution channels other than the Platform, and who has agreed with Scan&Go on their own sales conditions.
“Customer Code”: refers to the reference code for Scan&Go’s databases for a Customer, recognized by entering the VAT number in the dedicated field. This action allows linking and loading the previously defined sales conditions, which may include, for example, delivery/shipping methods and location, invoicing address.
“Privacy Code”: refers to Legislative Decree No. 196 of June 30, 2003, on personal data protection and subsequent amendments and integrations.
“Link to Customer Code”: refers to the action requestable by the Registered User who is already a Customer.
“Sales Conditions” or “Conditions”: refers to these Conditions governing the terms for purchasing Products through the Platform within Italian territory.
“Order Confirmation”: refers to the confirmation email of the Order accepted by the Company, containing the business name, billing details, product details, quantity, individual price items, total amount, and shipping times.
“Compliance”: refers to Scan&Go’s Quality System.
“Delivery”: refers to delivery that can take place at Scan&Go’s Warehouse within the times indicated in the Order Confirmation, only for those Customers who have agreed to this method in their respective conditions. The Customer will receive a notification email when the Products can be picked up at the Warehouse. For a Buyer who is not already a Customer, the delivery of Products will occur in a standard manner via Shipping to the address specified upon completion of the Order submission, subject to the possibility of updating their profile as per art. 6.4.
“Contract”: refers to the sales contract subject to these Conditions between the Buyer and the Company concerning the Sale of Products concluded through the acceptance of the Order by the Company as per the Order Confirmation.
“Stock Availability”: refers to the availability of the Product at Scan&Go’s warehouse at the time of selection from the Showcase and addition to the shopping cart. This entry will be replaced by different information whenever the Product’s availability is exhausted and/or production needs to be initiated. The Order submission will be binding in any case.
“Privacy Policy”: refers to the information on the processing of personal data pursuant to art. 13 of the Privacy Code and the GDPR Regulation.
“Warehouse”: refers to Scan&Go’s storage facility.
“Payment Methods”: refers to the payment methods usable for purchasing Products through the Platform. The Registered User must proceed with Pre-authorization through the available Payment Systems, subject to what is specified in the following art.5. The Customer may instead use payment methods already agreed with Scan&Go, such as bank transfer or direct debit, as per their profile, which will be loaded with the Registered User Link to Customer Code.
“Order”: refers to the purchase request by the Registered User for the selected Products added to the cart.
“Payment Pre-authorization” or “Pre-authorization”: refers to the pre-authorization operation that will be performed for Order submission, consisting of temporarily blocking the specific amount as per the Order Summary on the Registered User’s credit card. This operation does not generate any banking movement on the user’s account because it is not accounted for, thus not a charge. Authorization is granted by the reference bank or credit card network manager and allows reserving the amount before the transaction is actually carried out. This ensures the amount’s availability at the time of final reservation, which will occur following the Order Confirmation by the Company and at the time of Delivery/Shipping, concurrently with the invoice issuance by Scan&Go as governed by art. 4 of these Conditions.
“Platform”: refers to the Business to Business (B2B) e-commerce platform of the Site aimed at businesses and professionals, through which the Company makes the Products available and sells them.
“Price”: refers to the price based on the type and number of Units of Products selected, including packaging, which does not include Shipping Costs.
“Products”: refers to components designed, produced, or simply resold by the Company and made available on the Platform for sale.
“Claim”: refers to a report by a Buyer regarding one or more Products purchased under the Contract, which can be sent to the email address info@scan-go.eu. This report must include detailed information on the defects found in the Product.
“GDPR Regulation”: refers to Regulation (EU) 2016/679 of April 27, 2016, relating to the protection of individuals concerning the processing of personal data, applicable in all European Union member states from May 25, 2018.
“Order Summary”: refers to the order summary screen before Payment Pre-authorization, containing the Buyer’s details, including contact information, billing details, product details, quantity, individual price items, and Shipping Costs, as well as any specific Shipping or Delivery requests. This Summary will also be automatically sent via email following the Order submission procedure but does not serve as Order Confirmation.
“Product Data Sheet”: refers to the technical data sheet of the Product, containing the Price and a descriptive overview of the technical and functional features, such as drawings, material, variants, usage and assembly instructions.
“Discount”: refers to a reduction in the selling price that can be granted by Scan&Go based on the quantity and/or value of the Order and/or as part of promotions to its Customers. The discount system can be viewed by any User by clicking on the appropriate icon visible next to the Product Price, where active concerning the same.
“Site”: refers to the website scan-go.eu.
“Company” or “Scan&Go”: refers to Scan&Go S.r.l., with headquarters at Via della Tecnica 34 A/B, 41051 Castelnuovo Rangone (Modena), REA Registration No. 389908, VAT No. 03463820369.
“Shipping and Transport” or briefly “Shipping”: refers to the delivery of Products for transport and delivery to the third party who, in agreement with the Company, will provide such service. Scan&Go assumes no responsibility regarding this service consisting of the shipping and transport of Products to the address specified by the Registered User at the time of Order submission exclusively within the Territory. According to art. 1510 para. 2 of the Civil Code, these expenses will be borne by the buyer, and the seller will be released from all responsibility upon delivery to the carrier or shipper.
“Shipping Costs”: refers to the Shipping Costs for each purchase event through the Platform in addition to the Product Price, which will be shown separately from the Price in the Order Summary and purchase invoice.
“Territory”: refers to Italian territory, excluding San Marino and Vatican City.
“Sales Unit”: refers to the minimum purchasable quantity and multiple for each type of Product, which the Platform system will round up.
“Registered User”: refers to any User who is registered on the Site, upon acceptance of the Registration Conditions.
“Sale of Products”: refers to the subject of Contracts that Registered Users can enter into through the Platform with the Company, consisting of the sale of Products by the Company.
“Showcase”: refers to the space on the Platform dedicated to the catalog of Products available for sale by the Company and directly selectable for purchase by the Registered User.
ACCEPTANCE OF CONDITIONS
- Registration on the Site allows access to the B2B e-commerce Platform aimed at the Territory and owned by the Company, which operates internationally in the design, production, and distribution of systems and accessories for topography, specifically for surveying with laser scanning equipment.
- To purchase Products, the Registered User must have completed their profile by providing mandatory details including the Tax Code and billing data, which include the VAT number, business name, address, and billing method, in addition to Shipping data. Failure to provide these mandatory details will result in the inability to proceed with the Order submission.
- Acceptance of these Conditions constitutes, for all purposes, the establishment of a binding legal agreement, which can only be executed by an adult, legally competent person holding all necessary powers of representation of the purchasing legal entity. An essential requirement for submitting Orders and thus entering into Contracts with Scan&Go is to have a VAT number and therefore to be a natural or legal person acting in the exercise of their business, commercial, artisanal, or professional activity, or an intermediary.

CONFIDENTIALITY AND DATA PROCESSING
- The Buyer is required to keep all information related to the Contracts confidential, adopting all measures necessary to ensure adequate protection and to guarantee the confidentiality of the content, including responsibility for the actions and behaviors of any employees and other auxiliaries and/or collaborators.
- In relation to activities connected to the execution of the Conditions, each party shall comply, within their own competence and for their own data, with the provisions of the Privacy Code and the GDPR Regulation concerning the protection of individuals with regard to the processing of personal data, as well as any other applicable legal or regulatory provisions in their sector of activity. The Company declares that it adopts all technical and organizational measures appropriate to ensure a level of security for the Platform commensurate with the nature of the data processed and the specific characteristics of the service.
COMMUNICATIONS
- By providing an email address as an individual professional or on behalf of the company for which they act, the Registered User agrees to receive all necessary communications related to the Contract and the services provided through the Platform at this email address.
- It is understood that any changes regarding the Registered User’s email address must be promptly communicated to the Company, which, in the absence of such communication, will continue to carry out its duties using the email address declared by the Registered User.
JURISDICTION
- These Conditions are governed by Italian law, without giving rise to any conflict of law principles. The Registered User declares and agrees that for any legal action and/or dispute arising from or related to the application of these Conditions, the competent court shall be exclusively the Court of Modena.
Pursuant to and for the purposes of Articles 1341 and following of the Civil Code, the Registered User declares to have read, understood, and expressly accepted the following clauses: 5. Guarantees and responsibilities of the Company and return conditions; 7. Modification of the conditions; 12. Jurisdiction.
